4 Pillars of Board of Directors
POA board members have a legal and ethical obligation to act in the best interests of the association and its members. These obligations stem from their fiduciary duty, which is comprised of several key components.
1. Act Prudently and Informed: Board members must exercise reasonable care and diligence in their decision-making, acting as an ordinarily prudent person would in similar circumstances.
2. Attend Meetings & Stay Informed: Regularly participate in board meetings, stay updated on community matters, and carefully review financial reports and governing documents.
3. Seek Expert Advice When Necessary: Consult with legal counsel, accountants, or other professionals for guidance on complex matters affecting the association
1. Act in the Best Interest of the Association: Prioritize the well-being of the POA and its
members above any personal interests or gain.
2. Disclose Potential Conflicts of Interest: Immediately inform the board of any situation
where a board member's personal interests may conflict with the interests of the
association.
3. Avoid Self-Dealing and Favoritism: Refrain from using their position for personal benefit
or providing preferential treatment to certain members.
1. Adhere to Governing Documents: Ensure that all actions and decisions comply with the POA's articles of incorporation, bylaws, and other governing documents.
2. Comply with Applicable Laws and Regulations: Stay up-to-date and comply with all relevant federal, state, and local laws impacting POAs.
3. Act Within the Scope of Authority: Only exercise powers and make decisions within the boundaries outlined in the governing documents and applicable laws.
1. Act Honestly and in Good Faith: Make decisions based on what the board member believes to be in the best interest of the association, avoiding any deceitful or unethical conduct.
2. Treat All Members Fairly and Equally: Avoid discriminatory practices and enforce rules and regulations consistently across the community.
3. Be Transparent and Open in Communications: Maintain open communication with members and provide full and honest disclosure of relevant information.
POA board members are entrusted with significant responsibilities and must always strive to act ethically, diligently, and in the best interest of the community they serve.
Failing to fulfill these duties can result in breaches of fiduciary responsibility, leading to legal consequences for the board and potentially for individual board members.
Outside management is hired
Removal of this current board of directors is immanent as their disrespect for following the laws of Texas regarding the overall management of a property owners association is completely wrong! People are telling me they are somewhat apprehensive to sign up to remove because they are fearful of the current management staff issuing some sort of “reprisal” to those who try to remove them! I say hogwash! They are currently breaking the very laws that protect the POA!
